Professional Services Terms

Professional Services Terms for iCHARMS Charity Management System:

1. Definition of Services: iCHARMS agrees to provide the professional services described in the client's order form, including but not limited to consulting, training, and technical support, to assist the client in using the iCHARMS Charity Management System.

   
   
   

2. Payment: The client agrees to pay for the professional services in accordance with the payment terms agreed upon in the order form.

   
   
   

3. Confidentiality: iCHARMS agrees to maintain the confidentiality of the client's confidential information and not to use or disclose it to any third party without the client's prior written consent.

   
   
   

4. Limitation of Liability: iCHARMS shall not be liable for any indirect, incidental, special, or consequential damages arising from the provision of professional services, even if iCHARMS has been advised of the possibility of such damages.

   
   
   

5. Termination: Either party may terminate this agreement upon thirty (30) days written notice to the other party. Upon termination, iCHARMS shall invoice the client for all professional services rendered up to the date of termination and the client shall pay such invoice within thirty (30) days of receipt.

   
   
   

6. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the client is located.

   
   
   

7. Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties relating to the professional services provided by iCHARMS.

   
   
   

By using the iCHARMS Charity Management System, the client agrees to be bound by these Professional Services Terms.
